Terms & Conditions

These Terms & Conditions govern your access to and use of adbeliv.com, AdBeliv dashboards, campaign tools, support messaging features, and indoor digital advertising services provided by AdBeliv ("AdBeliv," "we," "us," or "our").

By creating an account, submitting content, purchasing a campaign, using a dashboard, or otherwise accessing our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and acknowledge our Privacy Policy. If you do not agree, do not use the services.

AdBeliv operates an indoor digital advertising network. Depending on availability and the selected service, our services may include:

• displaying advertiser content on digital screens at participating venues;
• campaign submission, scheduling, approval, playback, and reporting tools;
• venue-owner tools for uploading venue content and reviewing advertising requests where applicable;
• advertiser dashboards, payment processing, receipts, support messaging, and performance updates;
• screen installation, maintenance, and venue support under separate venue arrangements.

Venue availability, screen availability, campaign inventory, pricing, placement options, and service features may change over time.

You must provide accurate, complete, and current information when creating or updating an account. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs through your account.

• Do not share your password or allow unauthorized users to access your account.
• Notify AdBeliv promptly if you believe your account has been accessed without authorization.
• Keep your business name, contact information, and payment information current.
• Use your account only for lawful business purposes.

AdBeliv may require email verification, account review, or additional information before activating an account or enabling certain features.

Submitting a campaign does not guarantee that the campaign will be approved, displayed, or displayed at every selected venue. Depending on the selected venue, content may be reviewed by AdBeliv, the venue owner, or both.

• AdBeliv or a participating venue may approve, reject, request changes to, pause, or remove content.
• Venue restrictions may vary. A venue may exclude categories or content that it considers unsuitable for its audience or environment.
• When a campaign includes multiple venues, approval or rejection may be handled separately for each venue placement.
• Approval does not limit AdBeliv’s right to remove content later if a problem is identified.

Advertisers remain responsible for reviewing campaign details, selected venues, dates, content, and pricing before submission.

Eligible advertisers may be invited or permitted to apply for trusted-advertiser status. Trusted-advertiser status may allow qualifying campaigns to be approved automatically or processed more quickly.

• Trusted-advertiser status is a privilege, not a guarantee.
• Automatic approval does not remove the advertiser’s responsibility to comply with these Terms, applicable laws, venue restrictions, and content standards.
• AdBeliv may suspend, revoke, or deny trusted-advertiser status based on content concerns, complaints, unresolved payment issues, misuse of the platform, or compliance history.
• Automatically approved content may still be reviewed, paused, rejected, or removed after submission.

All submitted advertising content must be accurate, lawful, appropriate for the selected venue, and compliant with applicable advertising rules. You must have all rights, permissions, licences, and consents required to use the content you submit.

AdBeliv may refuse, pause, remove, or request changes to content that:

• is false, misleading, deceptive, or materially incomplete;
• promotes illegal products, services, or activities;
• contains obscene, hateful, discriminatory, threatening, exploitative, or otherwise inappropriate material;
• infringes intellectual property, privacy, publicity, or other third-party rights;
• does not meet technical requirements or venue-specific restrictions;
• could reasonably harm AdBeliv, a venue, viewers, or the integrity of the network.

You are solely responsible for your submitted content and for claims made in your advertising.

Campaign pricing is shown during checkout or otherwise communicated before purchase. Unless stated otherwise, prices are in Canadian dollars and applicable taxes may be added.

When a campaign requires review, AdBeliv may place a temporary authorization on your payment method and capture the final payment only after approval. For qualifying automatically approved campaigns, payment may be captured immediately after submission. A temporary authorization is not a final charge, and the time required for a hold to disappear may depend on your financial institution.

Payments may be processed by third-party payment providers such as Stripe. You agree to provide valid payment information and authorize the applicable payment processor to charge amounts properly due for your purchase.

Rejected placements

If a placement is rejected before it begins, AdBeliv will not capture the payment for that rejected placement. Any temporary authorization may be cancelled or allowed to expire. If payment was already captured, AdBeliv will issue a refund or account credit for the rejected placement.

Advertiser cancellation before the start date

If you request cancellation at least 48 hours before the scheduled start date, AdBeliv will provide a full refund or account credit for the cancelled placement. If you request cancellation less than 48 hours before the scheduled start date, AdBeliv may provide a refund or credit at its discretion.

Advertiser cancellation after a campaign starts

If you cancel after a campaign begins, you are not entitled to a refund for the portion already delivered. For the undelivered portion, AdBeliv may provide a prorated refund or account credit.

Removal for policy violations

No refund is required for delivery that has already occurred. AdBeliv may deny a refund or credit for the undelivered portion in cases involving fraud, illegal content, repeated violations, payment abuse, or misuse of the platform.

Refund processing

Approved refunds are issued to the original payment method unless otherwise agreed. Processing times may depend on the payment processor and your financial institution.

Screen availability and campaign delivery may be affected by venue closures, changes in venue operating hours, connectivity issues, maintenance, equipment failures, force majeure events, or the end of a venue relationship.

If a material interruption not caused by the advertiser prevents delivery, AdBeliv may provide one or more of the following remedies:

• an extension of the campaign period;
• replacement plays;
• placement at a comparable available venue;
• a prorated account credit; or
• a prorated refund for the undelivered portion.

AdBeliv does not guarantee uninterrupted operation of every screen or venue.

Dashboard statistics, play counts, campaign statuses, venue summaries, and other analytics are reporting tools. They may be updated, corrected, delayed, or affected by technical limitations.

AdBeliv may provide minimum scheduled-play commitments where expressly stated during checkout or in a written agreement. Unless expressly stated otherwise, AdBeliv does not guarantee a specific number of impressions, customer interactions, sales, leads, website visits, foot traffic, revenue, or other business outcomes.

Industry statistics, case studies, or marketing examples are general informational references and are not guarantees of your results.

Promotional offers and free trials are subject to any additional conditions disclosed with the offer. Unless expressly stated otherwise:

• a free trial ends automatically at the end of the stated promotional period;
• a free trial does not automatically convert into a paid campaign;
• promotional credits have no cash value and may not be transferable;
• discounts may not be combined unless AdBeliv states otherwise.

A recurring renewal or automatic charge will apply only when clearly disclosed and accepted during checkout or in a separate agreement.

Venue owners may use AdBeliv tools to upload venue content, manage selected profile details, review advertising requests where the venue is responsible for approvals, view running ads, and view applicable earnings or hosting-payment information.

Screen installation, reserved venue content, venue payments, revenue sharing, connectivity, screen location, maintenance responsibilities, and termination notice may be governed by a separate signed venue-hosting agreement. These Terms do not replace that agreement.

AdBeliv may send essential service communications relating to account verification, security, approvals, rejections, payments, receipts, campaign status, support replies, and material service changes.

Advertisers may also receive optional weekly campaign-performance emails containing information such as approved campaigns, currently running ads, play counts, performance highlights, and approaching end dates. Advertisers can disable or re-enable these optional weekly emails from their Profile page and may also use the unsubscribe link included in the email footer.

Dashboard support messages may be retained to respond to requests, maintain service records, resolve disputes, and improve support operations, subject to our Privacy Policy.

AdBeliv may request permission to identify a participating business or venue as an AdBeliv client or partner and to use approved testimonials, logos, photographs, videos, campaign examples, or performance information for promotional purposes.

Promotional use is optional unless expressly agreed in a separate written permission or agreement. Creating an account, purchasing a campaign, or using the platform does not automatically grant AdBeliv permission to use a client’s logo, testimonial, identifiable image, voice, or non-public campaign information for marketing.

Where permission is granted, the client confirms that it has authority to provide the approved materials and permissions. Permission for future promotional use may be withdrawn by contacting AdBeliv.

Our collection, use, disclosure, retention, and safeguarding of personal information are described in our Privacy Policy.

Depending on how you use the services, information may include account details, uploaded content, campaign activity, play-count data, approval history, payment-related metadata, support messages, email preferences, and unsubscribe records. Payment card details may be handled by third-party payment processors rather than stored directly by AdBeliv.

AdBeliv does not sell or rent personal information to advertisers or third parties for their independent marketing purposes. For more information or to make a privacy request, contact privacy@adbeliv.com.

You agree not to:

• use the services for unlawful, fraudulent, abusive, or misleading purposes;
• attempt to gain unauthorized access to accounts, systems, screens, servers, or data;
• interfere with platform operation, security, payments, or approval workflows;
• upload malware, harmful code, or content intended to disrupt the services;
• scrape, copy, reverse engineer, or exploit the platform except as permitted by law;
• impersonate another person or business or submit false account information;
• circumvent venue restrictions, content review, payment rules, or account limits.

AdBeliv may suspend, restrict, or terminate an account, campaign, placement, or feature if we reasonably believe there has been:

• a violation of these Terms or applicable law;
• fraud, payment abuse, non-payment, or unauthorized activity;
• submission of prohibited, infringing, misleading, or harmful content;
• misuse of the platform or interference with other users, venues, or systems;
• a need to protect AdBeliv, participating venues, viewers, or third parties.

You may stop using the services at any time. Any cancellation, refund, credit, or outstanding-payment obligations remain subject to these Terms and any applicable agreement.

The AdBeliv name, logo, website design, software, dashboards, text, images, videos, and other materials provided by AdBeliv are owned by or licensed to AdBeliv and are protected by applicable intellectual property laws.

You retain ownership of content that you submit. By submitting content for use with the services, you grant AdBeliv a non-exclusive, worldwide, royalty-free licence to host, reproduce, process, adapt as technically necessary, display, and distribute that content for the purpose of operating and promoting the applicable services and campaign.

You represent that you have the rights necessary to grant this licence.

The services may integrate with or link to third-party services, including payment processors, analytics providers, email providers, hosting providers, and external websites. Third parties operate under their own terms and privacy practices.

AdBeliv is not responsible for third-party websites, third-party service availability, or the acts or omissions of third-party providers, except where responsibility cannot be excluded by law.

The website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, AdBeliv disclaims warranties that are not expressly stated in these Terms or a written agreement.

Without limiting the foregoing, AdBeliv does not warrant that the website, dashboards, screens, reporting tools, or integrations will always be uninterrupted, error-free, secure, or free from delays.

Nothing in these Terms excludes warranties, rights, or remedies that cannot legally be excluded.

To the fullest extent permitted by law, AdBeliv is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, loss of goodwill, loss of data, or business interruption arising out of or relating to the services.

To the fullest extent permitted by law, AdBeliv’s aggregate liability arising out of or relating to a specific campaign or service is limited to the amount paid to AdBeliv for that specific campaign or service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to any rights that cannot be waived, disputes are subject to the jurisdiction of the courts of Ontario.

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. A delay or failure to enforce a right is not a waiver of that right. These Terms, together with any applicable checkout terms, written campaign agreement, venue-hosting agreement, and referenced policies, form the agreement relating to the applicable services.

AdBeliv may update these Terms from time to time. The "Last Updated" date at the top of the page identifies the current version. Where required, AdBeliv may provide additional notice or request renewed acceptance.

Your continued use of the services after an update takes effect constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.
